Terms of Service

The agreement between Orisan Clinical Systems and the organizations and professionals who use Orisan Sage.

1. Agreement

These Terms of Service (“Terms”) govern access to and use of Orisan Sage, a drug information platform operated by Orisan Clinical Systems (“Orisan,” “we,” “us”). By accessing or using the service, you agree to these Terms on behalf of yourself and, where applicable, the organization that provisioned your account. If your organization has a separate written agreement with Orisan, that agreement controls where it conflicts with these Terms.

2. Professional Use Only

Orisan Sage is built for medical professionals and healthcare organizations. It is not a consumer health product and is not intended for use by patients or the general public. You represent that you are using the service in a professional capacity or under the supervision of a qualified organization.

3. Accounts

Accounts are provisioned by your organization or by the Orisan team; there is no self-serve signup. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly of any suspected unauthorized use. We may suspend accounts that present a security risk or violate these Terms.

4. Drug Information, Not Medical Advice

Orisan Sage is a drug information reference. It surfaces FDA label text, structured drug data, interaction information, and the pharmacological evidence behind them so that qualified professionals can evaluate that information themselves. It is not the practice of medicine or pharmacy, and nothing in the service is medical advice, a diagnosis, a treatment recommendation, or a substitute for professional judgment.

Sage does not make medication decisions and is not designed to. Every prescribing, dispensing, or treatment decision belongs to the clinician responsible for the patient, and every result the service surfaces requires vetting by a qualified medical professional before it informs any medication change. Coverage of the underlying knowledge base is inherently bounded; the absence of a flagged interaction is not a statement that no interaction exists, and the presence of one is not a directive to act. You agree that you and your organization remain solely responsible for all clinical decisions made while using the service.

5. Acceptable Use

You agree not to:

  • Use the service in violation of applicable law or these Terms, or in any consumer-facing context that presents Sage output as medical advice.
  • Share credentials, resell access, or provide the service to third parties outside your organization without a written agreement with Orisan.
  • Scrape, bulk-extract, or redistribute the underlying dataset except as expressly permitted by your plan or agreement.
  • Probe, disrupt, or circumvent security or rate-limiting controls.
  • Use the service to build a competing drug information product.

6. API Access

Developer-tier customers may access Orisan Sage through our REST API using issued API keys. API use is subject to these Terms plus the plan limits, rate limits, and any supplemental API terms presented with your key issuance. API keys are confidential; you are responsible for requests made with your keys. Applications built on the API must preserve the informational character of the service, including the clinical disclaimer, and must not present Sage output as a treatment recommendation.

7. Intellectual Property

The service, including its software, design, compiled dataset, and documentation, is owned by Orisan Clinical Systems and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service for your internal professional purposes during your organization’s subscription. Public-domain source material (such as FDA label text) remains public domain; our compilation, structure, and enrichment of it are ours. Feedback you provide may be used to improve the service without obligation to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORISAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS CONTENT IS COMPLETE, CURRENT, ERROR-FREE, OR UNINTERRUPTED. DRUG INFORMATION CHANGES OVER TIME AND COVERAGE IS BOUNDED; YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING INFORMATION BEFORE RELYING ON IT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORISAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. ORISAN’S AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE FEES PAID BY YOUR ORGANIZATION FOR THE SERVICE DURING THAT PERIOD. CLINICAL DECISIONS ARE MADE BY CLINICIANS, NOT BY THE SERVICE, AND ORISAN IS NOT LIABLE FOR MEDICAL OUTCOMES.

10. Suspension and Termination

Your organization’s agreement or order form governs subscription term and termination. We may suspend or terminate access for material breach of these Terms, non-payment, or security risk, with notice where practicable. Sections 7 through 12 survive termination.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Delaware, unless your organization’s written agreement with Orisan specifies otherwise.

12. Changes and Contact

We may update these Terms from time to time; material changes will be communicated to account administrators, and the “Last updated” date above will change. Continued use after the effective date constitutes acceptance. Questions about these Terms can be sent through the contact form.
